1. Acceptance of terms

These Terms & Conditions ("Terms") govern your access to and use of pebble.org.in (the "Website") and any services provided by Pebble Informatics ("Pebble Informatics", "we", "us", or "our"), including web development, Android development, backend development, and API design and integration services (together, the "Services").

By accessing the Website or engaging our Services, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

2. Description of services

Pebble Informatics provides custom software development services, including but not limited to web applications, Android applications, backend systems, and APIs, delivered under individually agreed project scopes, statements of work, or service agreements ("Engagements"). The specific deliverables, timelines, and fees for each Engagement will be set out separately in writing and, in the event of any conflict, will take precedence over these Terms for that Engagement.

3. Eligibility & account use

You must be at least 18 years old and capable of entering into a legally binding contract to use our Website or Services. You are responsible for ensuring that any information you provide to us is accurate, current, and complete.

4. Project engagements

Each Engagement between you and Pebble Informatics will typically involve the following stages: scoping, design, development in iterative cycles, delivery, and post-launch support, as further described on our Services page. Specific deliverables, milestones, acceptance criteria, and timelines will be documented in the applicable Engagement agreement.

Delays caused by incomplete information, delayed feedback, or changes in scope requested after an Engagement has begun may affect agreed timelines and fees, and will be communicated to you as they arise.

5. Fees & payment

Fees for our Services will be set out in the applicable Engagement agreement or invoice. Unless otherwise agreed in writing:

• Invoices are payable within 15 days of the invoice date.
• Fees are quoted exclusive of applicable taxes, including GST where applicable under Indian law, which will be added where required.
• Late payments may result in a pause of ongoing work until the outstanding balance is settled.
• Fees for fixed-scope projects, monthly retainers, and embedded team engagements may differ in structure as described in the relevant agreement.

6. Intellectual property

Unless otherwise agreed in writing in an Engagement agreement, upon full payment of all applicable fees, ownership of the custom deliverables created specifically for you as part of an Engagement transfers to you. Pebble Informatics retains ownership of:

• Pre-existing tools, frameworks, libraries, and internal know-how used to deliver the Services, whether or not incorporated into your deliverables.
• Any general methodologies, techniques, and reusable components developed independently of a specific client engagement.

All content on the Website, including text, graphics, logos, and design, is the property of Pebble Informatics or its licensors and may not be copied or reproduced without permission, except as necessary to use the Website as intended.

7. Acceptable use

You agree not to use the Website or Services to:

• Violate any applicable law or regulation.
• Infringe the intellectual property or other rights of any third party.
• Transmit malicious code, or attempt to gain unauthorised access to our systems or those of our clients.
• Misrepresent your identity or affiliation, or engage in fraudulent activity.

8. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with an Engagement, and to use it only for the purposes of that Engagement, except where disclosure is required by law or with the disclosing party's prior written consent. This obligation survives the termination of an Engagement.

9. Warranties & disclaimers

We will perform the Services with reasonable skill and care, consistent with standard industry practice. Except as expressly stated in an applicable Engagement agreement, the Website and Services are provided "as is" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement, to the extent permitted by applicable law.

10. Limitation of liability

To the fullest extent permitted by applicable law, Pebble Informatics shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising out of or related to your use of the Website or Services. Our total aggregate liability arising out of or relating to an Engagement shall not exceed the total fees paid by you to us under that specific Engagement in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold Pebble Informatics harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the Website or Services, or your violation of any applicable law or third-party rights.

12. Termination

Either party may terminate an ongoing Engagement in accordance with the termination terms set out in that Engagement's agreement. We reserve the right to suspend or restrict access to the Website at our discretion, including where we reasonably believe these Terms have been violated. Provisions relating to intellectual property, confidentiality, limitation of liability, and indemnification survive termination.

13. Governing law & jurisdiction

These Terms, and any dispute arising out of or in connection with them or with the Services, are governed by the laws of India. Subject to any dispute resolution process specified in an applicable Engagement agreement, the courts at Thiruvananthapuram, Kerala, India shall have exclusive jurisdiction over any disputes arising hereunder, without prejudice to any mandatory consumer protection rights you may have under the laws of your own country.

14. Changes to these terms

We may update these Terms from time to time to reflect changes in our practices, services, or for legal and regulatory reasons. We will post the updated Terms on this page with a revised "Last updated" date. Continued use of the Website or Services after changes take effect constitutes acceptance of the revised Terms.
